Agrokor’s Extraordinary Commissioner Fabris Peruško has sent out a statement explaining exactly why he is seeking the dismissal of two prominent individuals at Agrokor and Mercator.
As Poslovni Dnevnik writes on the 24th of August, 2018, Agrokor’s Fabris Peruško has made his wishes clear to both Jamnica and Mercator, with the desire to help acquaint them with important facts, one of them being that these companies under the Agrokor umbrella are apparently in need of rather drastic personnel changes.
Peruško proposed that it is in Jamnica’s interest to consider dismissing Mislav Galić from his position, and replace him with Dario Šalić.
The reason for Peruško’s desire for Galić to step down from his position is, among other things, due to the fact that Galić is part of Agrokor’s former management, the questionable performance of which caused the very initiation of the extraordinary administration procedure within the ailing company, and that criminal proceedings are being conducted against him. Peruško feels that this is damaging to Jamnica’s business reputation and directly places significant limitations on Galić when it comes to the overall quality of his work.
In the explanation of his proposal to the Jamnica, Peruško stated: “In the nature of things [as they are], it was to be expected that all the people who were part of Agrokor’s former management, which brought [the company] to a state of unsatisfactory business, would, as responsible people, resign from their management positions within Agrokor’s dependent and affiliated companies, but unfortunately in this particular case, that hasn’t happened. In relation to Mr. Galić, the circumstances of him having criminal proceedings being conducted against him is further detrimental to Jamnica’s business reputation since it’s not customary for the company to be represented by a person against whom criminal proceedings are being conducted, which are indirectly related to the function he or she carries out. In this regard, I consider that the principle of the presumption of innocence, which is applicable in criminal proceedings, cannot excuplate Mr. Galić in the situation in which he finds himself, and this undoubtedly and unnecessarily burdens Jamnica. For these reasons, after finding the appropriate substitute for the office of the President of Jamnica, I consider it to be in Jamnica’s best interests to make the decision to revoke the appointment of Mr. Galić [from that position].”
Jamnica will consider Peruško’s proposals at their next session.
The second letter which was sent today from Agrokor’s extraordinary administration, was for Mercator’s eyes. Agrokor’s extraordinary commissioner has informed Tomislav Čizmić about his suspicions about potential unlawfulness and irregularities in the work of the previous management bodies of certain companies under the extraordinary administration process, which also concerns Mercator’s manager, Dražen Kocijan.
Peruško informed Mercator’s management board and the members of its supervisory board, among several other things, that “Agrokor’s extraordinary administration had taken all the appropriate steps, given the suspicion that Mr Dražen Kocijan, the former President of the Management Board of Tisak dd, Zagreb, as the responsible person of the company, was negligent and potentially caused a great deal of damage,”
The extraordinary commissioner stated that the aforementioned individual should ”maintain his corporate ethical and business rules at a high level and to take into account his instruction to take all the necessary steps to maintain, or to achieve that goal”.
Peruško added that the successful restructuring of Agrokor requires the growth of corporate governance quality as well as the rise of professional and ethical corporate standards within all of Agrokor’s companies.
